1. Authorization and License: Owner grants User a non-exclusive, royalty-free, revocable license to share and reference Owner’s website and associated content, including name, address, contact details, services, amenities, logos, descriptions, and photos ("Content”) solely for inclusion in online directories, marketing materials, or related platforms operated by User.
2. Ownership and Limitations: Owner retains all rights, title, and interest in the Content. No ownership is transferred. The Content may not be used for any purpose other than informational reference. User shall not modify, reproduce, distribute, or use the Content in any way that implies endorsement, affiliation, or sponsorship. All use must comply with applicable laws.
3. Accuracy and Updates: Owner is responsible for the accuracy of the Content and agrees to provide timely updates. User may rely on Owner-provided information and is not responsible for independent verification.
4. Disclaimers and Attribution: User agrees to include any required disclaimers or attribution as specified by Owner. The Owner may request updates or removal of Content at any time by written notice, which the User will process within a reasonable time.
5. Indemnification: The Owner agrees to indemnify, defend, and hold harmless the User, including its affiliates, officers, directors, employees, and agents, from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to inaccuracies in the Owner-provided content or any breach of this Agreement by the Owner.
6. Termination: Owner may revoke this authorization at any time with written notice to Admin@PlacementHelpers.com. Upon termination, User shall immediately cease use and remove the Content from all platforms.
7. Governing Law: This Agreement shall be governed by the laws of the State of California. Any disputes shall be subject to the exclusive jurisdiction of the courts located in California.

IN WITNESS WHEREOF, the parties have executed this Agreement as of the date first written above.
